These Terms and Conditions ("Terms") govern your access to and use of the website and platform operated by Timelines Global LLC ("Timelines Global", "we", "us", or "our"), a company incorporated in the State of Delaware, United States.
By accessing or using the website and/or the Timelines Global platform, you agree to be bound by these Terms. If you do not agree, you may not access or use our services.
1. Subscriptions
Timelines Global offers its services through a flexible subscription model. Customers may choose monthly or annual billing cycles, with payments due upon initiation and on corresponding dates of each subsequent billing period.
Annual subscriptions: Annual subscriptions cannot be downgraded by reducing the number of seats during an active billing period. To make changes — such as reducing seats or switching to monthly billing — contact support before the current billing period ends.
You must maintain a valid and current payment method on file. Failure to do so may result in automatic suspension or termination of your subscription. By providing billing information, you authorize Timelines Global to process subscription fees at the designated intervals.
Your subscription remains active until canceled by you or by Timelines Global. Cancellations can be made at any time. You may renew immediately should you choose to resume the service.
2. Subscription Fee Changes
Timelines Global reserves the right to modify subscription fees, features, and/or usage limitations at any time. We will notify you of material changes in advance, and you will have the option to terminate your subscription or continue under the updated terms.
3. Refunds
Unless required by applicable law, subscription fees are nonrefundable. For customers in states with specific consumer protection laws that provide refund rights, we will comply with those requirements.
4. Accounts
When creating an account, you must provide accurate and complete information. Providing false or misleading information constitutes a breach of these Terms.
You are responsible for maintaining the security of your account credentials. Do not share your password with any third party. You are solely responsible for any activity that occurs under your account. If you suspect unauthorized access, you must notify us immediately at support@timelines.global.
You agree not to attempt to gain unauthorized access to other accounts, systems, or networks connected to the Timelines Global platform.
5. Data Retention
Data retention periods vary by subscription plan:
- Business Plans: Messaging history access for a default of six (6) months, adjustable based on your plan configuration.
- Shared Inbox and Mass Messaging Plans: Six (6) month retention period for messaging history with each contact.
- All Other Plans: One (1) month retention period for messaging history.
Timelines Global reserves the right to delete user data, including messaging history, after the conclusion of a paid subscription or trial period. We recommend you export any data you wish to retain before your subscription ends.
6. Confidentiality
We acknowledge that you may share non-public information with us in the course of using our services. We implement appropriate administrative, technical, and physical safeguards to protect such information against unauthorized access, use, or disclosure. Our obligations regarding confidentiality are limited to what is required by applicable law.
7. Messaging Platform Disclaimers
Timelines Global is an independent service and is not endorsed by, affiliated with, or sponsored by WhatsApp, Meta, Telegram, WeChat, or any other third-party messaging platform. We are not responsible for the policies, practices, or actions of these platforms.
You are solely responsible for your use of any connected messaging accounts. Timelines Global is not liable for any suspension, termination, or restriction imposed by a messaging platform due to your activities, whether conducted through Timelines Global or otherwise.
Restrictions on Account Linking
a. Right to Restrict Access: Timelines Global reserves the right to block or restrict any messaging account from linking to our platform if we determine, at our sole discretion, that a violation of these Terms or applicable law has occurred.
b. Notification and Appeals: If your account is restricted, we will endeavor to notify you of the reason. You may appeal by contacting our support team. Reinstatement decisions are at our sole discretion.
c. Trial Limitations: Trial plan users may link their messaging account to only one workspace. To link to multiple workspaces, you must upgrade to a paid subscription.
8. Acceptable Use
You agree not to use Timelines Global to:
- Send unsolicited messages (spam) or messages without proper recipient consent
- Violate any applicable local, state, federal, or international law or regulation
- Transmit harmful, threatening, abusive, or otherwise objectionable content
- Infringe on the intellectual property rights of any third party
- Attempt to circumvent any rate limits, security measures, or access controls
- Use the platform in any manner that could damage, disable, or impair our services
Violation of this section may result in immediate suspension or termination of your account.
9. Intellectual Property
All content, trademarks, logos, and intellectual property displayed on the Timelines Global platform are the property of Timelines Global LLC or its licensors. You may not reproduce, distribute, or create derivative works from any content without our prior written consent.
10. Disclaimer of Warranties
THE TIMELINES GLOBAL PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We invest significant resources to maintain high performance and reliability. However, we do not guarantee that the service will be uninterrupted, error-free, or secure at all times. We will make reasonable efforts to notify users of planned maintenance.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TIMELINES GLOBAL LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE USE OF OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
12. Indemnification
You agree to indemnify, defend, and hold harmless Timelines Global LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the services, your violation of these Terms, or your violation of any rights of a third party.
13. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any dispute arising from or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to binding arbitration under the rules of the American Arbitration Association (AAA), conducted in the State of Delaware.
Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction.
14. U.S. Regulatory Compliance
Telephone Consumer Protection Act (TCPA)
You are responsible for obtaining proper consent before sending any automated or pre-recorded messages through the Timelines Global platform. You represent and warrant that your use of mass messaging features complies with the TCPA and all applicable FCC regulations.
CAN-SPAM Act
To the extent any messages sent through our platform constitute commercial electronic messages, you agree to comply with the CAN-SPAM Act, including providing accurate sender information, clear identification of commercial content, and honoring opt-out requests within ten (10) business days.
California Consumer Privacy Act (CCPA/CPRA)
For California residents, additional privacy rights apply as described in our Privacy Policy. We do not sell personal information as defined under the CCPA/CPRA.
15. Changes to These Terms
Timelines Global reserves the right to modify these Terms at any time. We will provide notice of material changes via email or through the platform. Continued use of our services after changes become effective constitutes acceptance of the updated Terms. If you do not agree, you must discontinue use of the platform.
16. Privacy Policy
Your use of our platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it carefully before using our services.
Data Processing Agreement (DPA)
Timelines Global LLC provides a standard Data Processing Agreement in compliance with Article 28 of the GDPR and applicable U.S. data protection laws. This DPA forms part of these Terms and applies automatically to all customers. By using our services, you agree to the terms of the DPA.
17. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.
